Terms and Conditions of Sale

1. Validity and Acceptance

  • Validity: This quotation is valid for 30 days from the date of issue. Prices may be subject to review thereafter due to fluctuations in raw material costs (e.g., steel, rubber lagging).

  • Acceptance: A binding contract is formed only upon receipt of a formal Purchase Order (PO) and written acknowledgment from PECPL.

2. Pricing and Taxes

  • Prices: All prices are quoted Ex-Works unless otherwise specified.

  • Taxes: GST and other statutory levies will be charged extra at the prevailing rates at the time of invoicing.

  • Duties: Any customs duties or special entry permits required for interstate transport are the responsibility of the buyer.

3. Payment Terms

  • Standard Terms: 30% advance with the Purchase Order; 70% against Proforma Invoice prior to dispatch.

  • Delayed Payment: Interest at a rate of 1.5% per month will be charged on all overdue payments.

4. Delivery and Lead Time

  • Timeline: The estimated delivery period is 4-5 weeks from the date of receipt of the advance payment and final technical approval of drawings.

  • Force Majeure: PECPL shall not be liable for delays caused by circumstances beyond our control, including labor strikes, transport bottlenecks, or shortages of raw materials.

5. Technical Specifications & Approvals

  • Drawing Approval: For custom conveyor systems, manufacturing will commence only after the buyer provides a signed "Approved for Construction" (AFC) drawing.

  • Modifications: Any changes requested after drawing approval may incur additional charges and extend the delivery timeline.

6. Warranty

  • Coverage: PECPL warrants that all rollers and conveyor components are free from defects in material and workmanship for a period of 12 months from the date of commissioning or 18 months from the date of invoice, whichever is earlier.

  • Exclusions: This warranty does not cover wear and tear parts (e.g., belt scrapers, lagging), damage due to overloading, lack of maintenance, or unauthorized modifications.

7. Inspection and Testing

  • Pre-Dispatch Inspection (PDI): The buyer may inspect the goods at our works with 7 days' prior notice.

  • Testing: Standard load tests and alignment checks are included. Specialized third-party inspections will be at the buyer’s cost.

8. Limitation of Liability

  • PECPL’s liability is limited strictly to the repair or replacement of defective parts. We are not liable for consequential losses, loss of production, or third-party damages.

9. Jurisdiction

  • All disputes are subject to the exclusive jurisdiction of the courts in Tijara.
